1. Agreement to Terms
By accessing or using TaskShell ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
TaskShell is a productivity application that allows you to manage tasks, spaces, lists, notes, and related content. The Service may be offered in individual and organization/education tiers, with features such as trials, subscriptions, and team or class management. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice where practicable.
3. Account and Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We may require email verification or other steps to activate or maintain your account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Infringe intellectual property or other rights of others.
- Distribute malware, spam, or harmful or illegal content.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for any purpose that is fraudulent or that we have not expressly permitted.
We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law.
5. Your Content and Data
You retain ownership of the content you create or upload ("Your Content"). By using the Service, you grant us a limited license to host, store, process, and display Your Content as necessary to provide and improve the Service, and to perform our obligations under these Terms. Our use of personal data is governed by our Privacy Policy.
You are responsible for Your Content and must ensure you have the rights to use and share it. We may remove content that violates these Terms or applicable law, or that we otherwise deem harmful to the Service or others, but we are not obligated to monitor all content.
6. Subscriptions, Trials, and Payment
Paid features may require a subscription. We may offer a free trial; if so, we will communicate the trial duration and what happens when it ends. Billing is processed by our designated payment provider (e.g., Polar). By subscribing, you agree to the provider's terms and to pay all applicable fees. Fees are generally charged in advance (e.g., monthly or annually) and are non-refundable except as required by law or as stated in our refund policy. We may change fees with reasonable notice; continued use after a fee change constitutes acceptance.
You may cancel your subscription in accordance with the process we provide (e.g., via account or billing settings). Upon cancellation, you may retain access until the end of the current billing period; after that, paid features may be restricted.
7. Organization and Education Use
If you use TaskShell as part of an organization or educational institution, or as a teacher or student, additional terms or policies may apply (e.g., acceptable use set by the organization). You must comply with those policies. We are not responsible for how organizations or institutions use the Service or for disputes between members.
8. Intellectual Property
The Service (including its design, code, branding, and materials we provide) is owned or licensed by us and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our Service or content except as expressly permitted (e.g., normal use of the app). Our name, logo, and related marks are our trademarks; you may not use them without our prior written permission.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TASKSHELL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS (USD 100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities; in such cases, the above limitations apply to you only to the extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless TaskShell and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights or applicable law.
12. Termination
You may stop using the Service and close your account at any time through the account or settings options we provide. We may suspend or terminate your access to the Service, or delete your account, for violation of these Terms, for non-payment, or for any other reason we deem necessary, with or without notice where permitted by law. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification, governing law) will survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which TaskShell operates (as indicated on our website or in our contact information), without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved in the courts of that jurisdiction, except where prohibited. If you are a consumer in the EEA/UK, you may also have rights under the laws of your country of residence.
14. Changes to the Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may notify you by email or through the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may close your account.
15. General
These Terms, together with our Privacy Policy and any additional terms we present for specific features, constitute the entire agreement between you and TaskShell regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision.
